It will discuss the changes introduced by the new HKCO in financial statements and directors’ reports and will cover the requirements imposed by section 436 of the new HKCO in relation to “non-statutory accounts” of which HK companies, in view of the significant non-compliance costs, should take note.

About this seminar 

The new HKCO introduces considerable changes to financial statements and directors’ reports. Companies are recommended to take note of the application issues including pitfalls and tips against a backdrop of numerous FAQs and Q&As issued by the HKCR and the HKICPA respectively, including:

  • a readily-available means to get rid of the disclosure requirements in relation to directors’ interests in transactions, arrangements or contracts.
  •  a pragmatic way to list out the names of directors at group level.
  • the validity of a late-registered special resolution for not preparing a business review etc.

Besides, the new HKCO contains new provisions governing the publication or issue of non-statutory accounts, which affect all listed and, beyond all expectations, many non-listed HK-companies. The consequence of non-compliance is simple but significant enough to put the provisions under the spotlight.

In this seminar, we will be looking at:
(1)        overview of financial reporting frameworks;
(2)        impact on directors’ reports;
(3)        impact on financial statements; and
(4)        publication or issue of non-statutory accounts (section 436)
and will share some HKCO-tools that could be helpful for financial reporting including a disclosure checklist for financial statements and directors’ reports, a template for declaration of directors’ remuneration, and a decision-tree for determining the applicability of section 436

About the speakers
